Owee Terms of Use

Owee is provided by Blank Canvas Labs LLC ("Owee", "we", "us"). These Terms of Use (the "Terms") govern the Owee service (the "Service") and incorporate the Privacy Policy. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

For the iOS app, your license to the app is governed by Apple's Standard Licensed Application End User License Agreement. These Terms govern the Owee service and supplement that Standard EULA. If the two conflict concerning your license to the iOS app, the Standard EULA controls.

1. Eligibility

You must be at least 13 years old, or the higher minimum age required to use an online service where you live, to create and use your own Owee account. If you have not reached the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf. By allowing a minor to use Owee, the parent or legal guardian confirms that authority, agrees to these Terms on the minor's behalf, and accepts responsibility for the minor's use to the extent permitted by law.

A parent or legal guardian may include a younger child as a non-account pool member in a ledger the adult manages. A child who is not old enough to create an account may not create or independently use an Owee account.

You must be at least 18 years old to connect a bank or card account or use a feature powered by Plaid. You may connect only a financial account that you are authorized to access and use.

2. Your data and content

You retain ownership of the pools, expenses, settlements, notes, photos, names, payment handles, and other content you provide. You grant Owee a non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, and display that content solely as needed to operate, secure, and support the Service and make shared-pool content available to the people you choose. This license ends when the content is deleted, except for shared or retained records described in these Terms and the Privacy Policy.

Owee syncs content to its cloud backend so it works across devices and with the people you split with. A local cache may be stored on your device for speed and offline use.

If you use an eligible Owee Basic introductory offer, a previously started legacy bank-sync trial, Owee Basic, or Owee Plus and choose to link a supported bank or card account, Owee uses Plaid to import account metadata and transactions you can choose to split. Bank linking is optional. If bank sync stops, saved expenses and split history already created from imports remain Owee records unless removed under the Privacy Policy.

If you choose to scan a receipt with AI, Owee sends the receipt image to a service provider to create a draft of the merchant, total, and line items. Bank imports, receipt extraction, auto-split results, computed balances, and suggested settlements may be incomplete or inaccurate. You must review them before relying or acting on them.

You are responsible for your content and use of Owee, including recording amounts accurately, resolving disputes with other members, and providing only information that you have the right to use and share.

3. What Owee is - and is not

Owee is a tracking and accounting tool. It records who owes whom and suggests settlements. It does not move money. Real-world payments happen through third-party services that you initiate and are governed by those services' terms.

Owee is not a money transmitter, bank, fiduciary, financial institution, financial adviser, or tax adviser. Owee does not hold funds. Information in the Service is provided for personal organizational purposes, not financial, legal, or tax advice.

4. Acceptable use

Use the profile Report control for suspected harassment, impersonation, scams, or inappropriate profile content, and use Block when you want to prevent new discovery and personal invitations. We aim to review submitted profile reports within 72 hours, but review does not guarantee a particular outcome or resolution time. Reporting is not an emergency service; contact local emergency services if someone is in immediate danger.

5. Paid features and Apple billing

Owee's core manual splitting features are free. Optional paid features are sold through Apple's App Store.

Owee Basic is an auto-renewable monthly subscription. It keeps one supported bank or card account importing and includes auto-split rules for imported transactions. Owee Plus is offered as an auto-renewable monthly or yearly subscription. Both Plus billing options provide the same Plus features, including up to three linked bank or card accounts and ten included AI receipt scans per calendar month. Included monthly scans reset each calendar month and do not roll over.

Eligible App Store customers may receive a 14-day introductory free trial of Owee Basic. Apple determines eligibility, including based on introductory offers previously used within Owee's subscription group. If you redeem the trial, it automatically converts to Owee Basic monthly at the localized renewal price Apple displayed before confirmation unless you cancel before the trial ends. Previously started legacy bank-sync trials remain available only through their recorded end date.

The App Store displays the full localized price, subscription duration, and renewal terms before purchase. Subscriptions renew automatically, and Apple charges your Apple Account, until you cancel in App Store subscription settings. Apple controls purchase eligibility, taxes, billing, renewal, plan or billing-period changes, any applicable proration or credits, cancellation, and refunds. Cancellation ordinarily takes effect at the end of the then-current period; a refund, revocation, or billing failure may end access earlier.

A one-time AI receipt-scan purchase is a consumable purchase that grants one paid scan credit and does not renew. A paid credit remains available until used while the purchasing Owee account remains active, subject to refunds or revocation. Apple does not restore consumed or unused consumable credits through Restore Purchases. Deleting an Owee account forfeits its unused scan credits.

If a subscription ends or cannot be verified, paid features may stop and linked financial accounts may be disconnected. Existing expenses, splits, settlements, and imported records already stored in Owee remain available subject to these Terms and the Privacy Policy.

Deleting your Owee account or removing the app from your device does not cancel an App Store subscription. You must cancel separately in App Store subscription settings.

6. Third-party services

Owee relies on third-party services, including Apple, Clerk, Convex, Plaid, OpenAI, PostHog, Expo, and Cloudflare. Your use of a third-party feature may also be governed by that provider's terms and privacy policy. We are not responsible for third-party services outside our control, but our handling of your information is described in Owee's Privacy Policy.

7. Availability and changes to the Service

We aim to provide a reliable Service but do not guarantee that it will be uninterrupted, secure, or error-free. We may add, change, suspend, or remove features; impose reasonable limits; or discontinue the Service. When reasonably practicable, we will give advance notice of a material discontinuation affecting paid features.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT IMPORTED DATA, EXTRACTED RECEIPT ITEMS, BALANCES, SETTLEMENTS, OR OTHER RESULTS ARE COMPLETE OR ACCURATE.

Some jurisdictions do not allow certain warranty exclusions, so some of this section may not apply to you. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWEE'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US $100. OWEE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of this section may not apply to you. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Owee and Blank Canvas Labs LLC harmless from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Service, your content, or your material violation of these Terms. This obligation does not apply to the extent a claim results from Owee's own conduct.

11. Suspension, termination, and account deletion

You may stop using Owee at any time. We may suspend or terminate access when reasonably necessary to protect the Service or other people, investigate fraud or abuse, comply with law, address nonpayment, or enforce these Terms. When appropriate, we will provide notice and an opportunity to appeal through [email protected].

Deleting your Owee account permanently severs your sign-in, removes or anonymizes personal account information, schedules deletion of account-specific data, and signs you out, as described in the Privacy Policy. Shared pool history may remain under "Former member" so other members' ledgers and balances remain accurate. Limited disassociated purchase records may be retained to validate subscriptions, prevent duplicate grants or abuse, process refunds, and permit an active subscription to be restored after account recreation. Unused consumable scan credits associated with a deleted account are forfeited.

Deleting only the app removes local data from that device; it does not delete your cloud account or cancel an App Store subscription.

12. Governing law and consumer rights

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. Subject to mandatory rights described below, disputes will be resolved in the state or federal courts located in California.

Nothing in these Terms limits any non-waivable consumer protection, warranty, remedy, or right to bring a claim in a forum available under the laws where you live. California law and California courts apply only to the extent permitted by those mandatory laws.

13. Changes to these Terms

We will post updated Terms and revise the effective date. When required by law, or when a change materially affects your rights or paid service, we will provide additional notice and obtain consent where required. Changes do not retroactively alter completed purchases.

14. General

If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or sale of assets, subject to applicable law. These Terms, the Privacy Policy, and Apple's Standard EULA are the entire agreement governing your use of Owee, except for terms presented for a specific feature or purchase.
